BY DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, COPY, ACCESS, OR USE THE SOFTWARE. IF YOU ACCEPT THIS AGREEMENT ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS. IN THAT CASE, "YOU" AND "YOUR" REFER TO THAT ENTITY.
This End User License Agreement ("EULA") is a legal agreement between you and Alauda Singapore Pte. Ltd. ("Alauda") and governs your use of Alauda software that includes or refers to this EULA, including related updates, enhancements, and extensions, and its associated appearance, structure, and organization (collectively, the "Software"), regardless of the delivery mechanism.
1. Open Source
The Software includes open-source components licensed under their own licenses (each, an "OSS License"), e.g., the GNU General Public License version 2 (GPL v2) or the Apache License, Version 2.0, as identified in the applicable notices or source-code repositories. This EULA governs your use of the Software, but does not limit, supersede, or modify your rights under any applicable OSS License with respect to open-source code included in the Software.
2. Third-Party Programs
The Software may be provided with third-party programs that are not part of the Software. These programs are not required to use the Software, are provided as a convenience, and are subject to their own license terms. If you do not agree to the applicable license terms for any third-party program, do not install or use it. If you wish to install the third-party software on more than one system or transfer the third-party software to another party, then you must contact the licensor of the applicable third-party software.
3. License Grant
Subject to this EULA and any applicable OSS Licenses, Alauda grants you a perpetual, non‑exclusive, non‑transferable, non‑sublicensable, worldwide license to install, reproduce, and use the Software solely for your internal business purposes.
This EULA does not permit you to distribute the Software, whether or not modified. You may redistribute the Software for commercial purposes only under a separate written agreement with Alauda expressly authorizing such redistribution.
4. Intellectual Property Rights
The Software is licensed, not sold. The Software and its components are owned by Alauda or its licensors and are protected by copyright and other applicable laws. Title to the Software, including any components and any copies or modifications, remains with Alauda or its licensors, subject to the applicable license terms.
"Alauda," the Alauda logo, and the names of the Software are trademarks or registered trademarks of Alauda and its affiliates in Singapore and other countries (collectively the "Alauda Marks"). No right or license, express or implied, is granted under this EULA to use any Alauda Marks, trade names, or service marks of Alauda or its affiliates.
5. Subscription Services and Support
Alauda has no obligation to provide updates, maintenance, or support unless otherwise agreed in a separate written agreement that expressly includes such services.
6. Limited Warranty
Except as set out in a separate written agreement with Alauda, and to the maximum extent permitted under applicable law, the Software and any components are provided and licensed "AS IS," with all faults, without warranty of any kind, express or implied, including the implied warranties of merchantability, non-infringement, or fitness for a particular purpose. Neither Alauda nor its affiliates warrant that the functions in the Software will meet your requirements, that the operation of the Software will be entirely error-free, that the Software will appear or perform precisely as described in the accompanying documentation, or that the Software complies with regulatory requirements.
7. Limitation of Liability
To the maximum extent permitted by applicable law, under no circumstances will Alauda, its affiliates, any Alauda-authorized distributor, or the licensor of any component provided to you under this EULA be liable for any incidental, special, indirect, or consequential damages (including lost profits or lost savings) arising out of or related to your use of or inability to use the Software or any component, even if Alauda, its affiliates, an authorized distributor, or a licensor has been advised of the possibility of such damages.
In no event will the aggregate liability of Alauda, its affiliates, any authorized distributor, or the licensor of a component provided to you under this EULA exceed fifty U.S. dollars (US$50).
8. Export Control
You will comply with all applicable export control and sanctions laws and regulations and will not use, export, or reexport the Software in violation of such laws.
9. Governing Law and Dispute Resolution
Any claim, controversy, or dispute arising under or relating to this EULA will be governed by the laws of Singapore, without regard to conflict-of-laws rules.
The Uniform Computer Information Transactions Act (UCITA) and the United Nations Convention on Contracts for the International Sale of Goods (CISG) do not apply to this EULA or its subject matter.
10. Entire Agreement
This EULA, together with any applicable purchase documents or other written agreements between you and Alauda or its affiliates, sets forth the entire understanding between you and Alauda and may be amended or modified only by a written agreement signed by you and an authorized representative of Alauda.
No third‑party licensor, distributor, dealer, retailer, reseller, salesperson, or employee is authorized to modify this EULA or to make any representation or promise that is inconsistent with, or in addition to, the terms of this EULA.
11. Severability
If any provision in this EULA is invalid or unenforceable, that provision will be construed, limited, modified, or severed to the extent necessary to eliminate the invalidity or unenforceability, and the remaining provisions will remain in full force and effect.
